Memoshelf Terms of Service

Effective: Oct 13, 2026

Last updated: Oct 13, 2026

These Terms of Service ("Terms") are an agreement between you and Twig Group LLC d/b/a Memoshelf, an Oklahoma limited liability company ("Memoshelf," "we," "us," or "our"), 1216 E Kenosha St, Ste. 342, Broken Arrow, OK 74012. They cover your use of the Memoshelf website at memoshelf.com, the Memoshelf API, the Memoshelf connector endpoint, the owner app, and related software and documentation (together, the "Service").

If you use the Service for a company or other organization, you agree to these Terms for that organization, and "you" means that organization. By creating an account, making an API key, connecting an AI tool, or using the Service, you agree to these Terms and to our Privacy Policy.

1. What Memoshelf is

Memoshelf is a hosted notebook and rules service for AI agents. Your agents use an API key or an authorized connector to store and read notes (including pinned "rules" pages), log runs, and turn public web pages into markdown. Agents typically read your saved rules and notes at the start of each task.

Memoshelf stores what you and your agents send it. It does not control what your agents do with it.

2. Eligibility and United States only

You must be at least 18 years old and able to form a binding contract. The Service is for business and professional use. It is not directed to children, and you may not use it if you are under 18.

The Service is offered only to users located in the United States. When you sign up you confirm that you are located in the United States. We do not knowingly accept users or customers outside the United States, and we may suspend or close accounts that we reasonably believe are used from or for persons outside the United States. You may not use the Service where doing so would violate US export control or sanctions laws.

3. Accounts, workspaces and keys

You sign in with an email address. Keep it accurate and keep access to it secure.

Your account has a workspace. API keys and connector authorizations act on that workspace.

A key or connector without a lane can read and write all of that workspace's content. A key or connector limited to a lane can read only that lane's notes and runs plus shared team notes, and can write only to its own lane. Tags and labels otherwise help organize content; they are not access controls.

You are responsible for all activity under your account, keys and connectors, including activity by your AI agents and by anyone you give access to.

Keep keys secret. Never paste a key into a chat, commit it to a code repository, or share it publicly. If a key may be exposed, revoke it and make a new one. Tell us promptly at security@memoshelf.com if you suspect unauthorized access.

You may have one free account. We may limit the number of free workspaces per person or email address.

4. Plans, billing and renewal

Plans. Our plans, prices (in US dollars) and limits (such as runs, notes, page fetches, keys and retention) are listed on our pricing page and at memoshelf.com/pricing.json. Paid plans are available when the pricing page shows them as open.

Payment. Paid plans are billed in advance through our payment processor, Stripe. You authorize us and Stripe to charge your payment method for your plan and applicable taxes.

Auto-renewal. Monthly plans renew each month, and annual plans (where offered) renew each year, until you cancel.

Cancellation. You can cancel at any time from your account's billing page or by emailing support@memoshelf.com. Cancellation takes effect at the end of the current billing period. You keep paid features until then, and you will not be charged again. Downgrades to a cheaper plan take effect at the end of the current billing period in the same way; upgrades take effect immediately and the price difference for the rest of the period is charged.

No refunds for partial periods. Fees are non-refundable, and we do not give refunds or credits for partial periods or unused limits, except where required by law.

Usage beyond limits. Usage beyond a plan's limits is not available unless offered on the pricing page. Requests over your limit are refused until your limits reset.

Price changes. We may change prices. We will give you at least 30 days' notice by email or in the Service before a price increase applies to you. The new price applies from your next billing period after the notice period. If you do not agree, cancel before it takes effect.

Taxes. Prices do not include taxes. You are responsible for sales, use and similar taxes, other than taxes on our income.

Failed payments. If a payment fails, we will email you and may retry the charge. If the balance is still unpaid at the end of your billing period, your workspace moves to the Free plan as described in Section 12.

Statement. Charges identify Twig Group LLC or Memoshelf on your card statement.

5. Free plan

The Free plan costs nothing and does not require a card. It has lower limits and a shorter retention period than paid plans. We may change Free plan limits or features, or discontinue the Free plan. We will give at least 30 days' notice of material reductions.

6. Acceptable use

You will not, and will not let your agents or users:

  • store or send content that is illegal, infringing, defamatory, harassing, or that you do not have the right to use;
  • store protected health information (PHI) or other regulated or highly sensitive data (such as payment card numbers, bank or government ID numbers, passwords for other services, or data about children) unless we have agreed to it in a separate signed agreement. The Service is not designed or offered for HIPAA-regulated data, and we do not sign business associate agreements under these Terms. If such data is reported to us, we may delete the reported notes or the workspace without opening or reading them;
  • use the Service to send spam, malware or harmful code;
  • use page fetching to access content you are not allowed to access, to get around paywalls, logins or robots.txt, or to overload any website;
  • access another customer's data, or probe, scan or test the security of the Service beyond good-faith testing of your own account that follows the rules on our Security page;
  • reverse engineer, decompile or try to extract the source code of the hosted Service, except where the law allows it despite this restriction;
  • evade rate limits, quotas or plan limits, including by opening multiple free accounts or rotating keys or accounts;
  • resell or sublicense the Service, or use it to build a competing product; or
  • use the Service in a way that could harm us, our providers or other customers.

We may remove content or suspend access that we reasonably believe breaks this section.

7. Your content

You own your content. "Customer Content" means the notes, rules, run logs, tags, page-fetch requests and results, webhook settings and other data you or your agents submit to the Service. As between you and us, you own Customer Content.

Our limited license. You give us a non-exclusive, worldwide license to host, copy, process, transmit and display Customer Content only as needed to provide, secure and support the Service for you, to prevent abuse, and to comply with law.

No training, no sale. We do not use Customer Content to train artificial intelligence or machine learning models, and we do not sell Customer Content.

Your responsibilities. You are responsible for Customer Content, for having the rights and permissions needed to submit it, and for what your agents write. Do not store anything you would not want the keys and connectors that can read it to read.

8. Third-party AI tools and outputs

You choose which AI assistants, coding agents, models and other tools ("Third-Party Tools") connect to Memoshelf. Third-Party Tools are provided by others under their own terms. We do not control them and are not responsible for their actions, outputs or availability, including whether an agent reads, follows or ignores your saved rules or notes.

AI outputs can be wrong, incomplete or inappropriate. You are responsible for reviewing and supervising what your agents do, and for how you use any output. Memoshelf storing a rule does not mean any agent will follow it.

When you connect a Third-Party Tool, you authorize us to exchange Customer Content with that tool as you direct.

9. Feedback

If you send us ideas, suggestions or feedback, we may use them without restriction or payment to you. We are not required to use them.

10. Our intellectual property

We and our licensors own the Service, including its software, design, documentation and the Memoshelf name and logo. Subject to these Terms, we give you a limited, non-exclusive, non-transferable right to use the Service while your account is active. Any client libraries or tools we release under an open-source license (such as MIT) are governed by that license. We reserve all rights not expressly granted.

11. Suspension and termination

By you. You may stop using the Service and cancel at any time (see Section 4).

By us. We may suspend or terminate your access, in whole or part, if you breach these Terms, fail to pay, create risk or legal exposure for us or others, or if we are required to by law. Where reasonable, we will give notice and a chance to fix the problem first. We may also discontinue the Service with at least 30 days' notice, in which case we will refund prepaid fees for the unused period.

Effect. When your access ends, your right to use the Service stops. Sections that by their nature should survive (including 6 through 10 and 13 through 18) survive.

12. Data export and deletion

While your account is active, you can export Customer Content on every plan, including Free.

You can delete individual notes and runs, request deletion of your workspace, or delete your account data. Runs and notes older than your plan's retention period are removed automatically. Pinned rules pages are not removed by any plan's retention limit. Deleted or expired notes and runs are recoverable for 30 days and then permanently deleted. A workspace deletion request can be cancelled for 30 days. Deleting your account data takes effect immediately and cannot be undone. Our Privacy Policy describes retention in more detail.

When a paid plan ends. If you cancel, or a payment is not made, your workspace moves to the Free plan at the end of your current billing period, and the Free plan's limits then apply. Pinned rules pages are kept. For 30 days after the move, runs and notes older than the Free plan's retention period are kept, and you can export them or upgrade again to keep them. We will email you at least 7 days before that 30-day period ends. After it ends, those older runs and notes are removed under the Free plan's retention rules. Copies held in our providers' backups are deleted on their normal backup cycle. We may keep limited records as required by law or for billing and security.

13. Beta and new features

We may offer features labeled beta, preview, early access or similar. They are provided as is, may change or be withdrawn at any time, and may not be covered by support. Use them at your own risk.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT DATA WILL NOT BE LOST, OR THAT ANY AGENT WILL READ OR FOLLOW CONTENT STORED IN THE SERVICE. Keep your own copies of important content.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.

These limits do not apply to your payment obligations, your indemnity obligations, or your breach of Section 6, or where the law does not allow them.

16. Indemnity

If you use the Service for business purposes, you will defend, indemnify and hold harmless Memoshelf, Twig Group LLC and their members, officers, employees and agents from claims, losses and expenses (including reasonable attorneys' fees) arising from your Customer Content, your Third-Party Tools and agents, your use of the Service, or your breach of these Terms or the law.

17. Governing law and disputes

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-laws rules.

Talk to us first. Before filing any claim, the party with the dispute will send a written notice describing it, and both parties will try in good faith to resolve it informally for at least 30 days.

Venue. If it is not resolved, any lawsuit must be brought only in the state or federal courts located in Tulsa County, Oklahoma, and each party consents to their jurisdiction. Either party may seek urgent injunctive relief in any court with jurisdiction.

18. General

Changes to these Terms. We may update these Terms. If a change is material, we will give at least 30 days' notice by email or in the Service before it takes effect, unless the change is required by law or relates to a new feature. Continuing to use the Service after the effective date means you accept the change. If you do not agree, stop using the Service and cancel.

Notices. We may send notices to your account email or post them in the Service. You can send notices to support@memoshelf.com and to Twig Group LLC, 1216 E Kenosha St, Ste. 342, Broken Arrow, OK 74012.

Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, reorganization or sale of assets.

Force majeure. Neither party is liable for delays caused by events beyond its reasonable control (other than payment obligations).

Entire agreement. These Terms, the Privacy Policy and any separate signed agreement are the entire agreement about the Service. If there is a conflict, a separate signed agreement controls.

Other. If a provision is unenforceable, the rest stays in effect. Failing to enforce a provision is not a waiver. The parties are independent contractors. There are no third-party beneficiaries.
